Terms of Service

Draft notice. These Terms of Service are a working draft prepared by the Localwise team. They have not yet been reviewed by an Australian-qualified legal practitioner. Nothing here is legal advice, and a final review is required before public launch.
1. Agreement to Terms
These Terms of Service (“Terms”) are a binding agreement between you and Localwise Pty Ltd (“Localwise”, “we”, “us”, “our”). By creating an account, downloading the Localwise mobile app, or accessing the merchant or admin portals, you agree to these Terms and to our Privacy Policy.
If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. The Platform
Localwise operates a marketplace that connects local Australian merchants with consumers through:
- a consumer mobile application that surfaces nearby offers, manages favourites, scratch cards, and redemptions;
- a merchant portal for creating ads, managing scratch cards, viewing redemptions, and managing billing;
- an admin portal used by Localwise staff to moderate content and operate the service.
We may add, change, or remove features at any time. We will give reasonable notice of material changes that adversely affect existing paid subscriptions.
3. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or other consumer-protection laws that cannot lawfully be excluded. Where any liability of ours can be limited under the ACL, our liability is limited (at our option) to re-supplying the relevant service or paying the cost of having it re-supplied.
4. Eligibility and Accounts
- Consumers must be at least 13 years old to use the mobile app.
- Merchants must hold a valid Australian Business Number (ABN) and be authorised to transact in Australia.
- You are responsible for keeping your account credentials secure and for all activity under your account.
- You must provide accurate information and keep it up to date.
5. Acceptable Use
You agree not to:
- use the Platform for any unlawful purpose, or in breach of any applicable law (including the Spam Act 2003 (Cth));
- post or distribute content that is misleading, deceptive, defamatory, infringing, obscene, hateful, or that promotes illegal activity;
- impersonate another person or business;
- attempt to bypass security controls, rate limits, moderation, or access controls;
- scrape, mirror, or systematically harvest content or data from the Platform;
- introduce malware, attempt denial-of-service, or otherwise interfere with the Platform’s operation;
- redeem an offer fraudulently, fabricate redemptions, or collude with a merchant to game the redemption or scratch-card systems.
We may remove content, suspend accounts, or terminate access without prior notice for breaches of these rules — see §10.
6. Merchant Obligations
In addition to §5, merchants must:
- only advertise goods or services they are lawfully able to supply;
- honour any redemption made within an offer’s validity period and consistent with the offer’s stated terms;
- not advertise restricted goods or services without the appropriate authority (e.g. tobacco, prescription medicines, gambling);
- comply with all applicable advertising standards, including the AANA Code of Ethics where relevant;
- ensure all content they upload (including images) is either owned by them or appropriately licensed;
- pay subscription fees and any applicable taxes when due (see §7).
All merchant ad content is subject to moderation by Localwise (automated and/or human review). We may reject or remove content that breaches these Terms or our content policies.
7. Subscriptions, Billing, and Refunds
- Merchant subscriptions are billed in Australian Dollars (AUD), monthly in advance, plus GST where applicable.
- Payments are processed by Stripe. By subscribing, you agree to Stripe’s terms.
- Subscriptions auto-renew until cancelled. You can cancel at any time from the merchant portal; cancellation takes effect at the end of the current billing period.
- Refunds: outside of your rights under the Australian Consumer Law, subscription fees are generally non-refundable. We may, at our discretion, issue pro-rata refunds for service-affecting outages or for accounts cancelled within the first 14 days of a new subscription.
- Failed payments may result in suspension of access until the outstanding amount is settled.

8. Consumer Use of Offers
- Offers are made by merchants, not by Localwise. The merchant is the supplier of the goods or services.
- Localwise facilitates discovery and redemption but is not a party to the underlying transaction between you and the merchant.
- Offers may have additional terms set by the merchant (validity period, exclusions, dine-in only, one-per-customer, etc.) which you must follow.
- Scratch cards must be redeemed at the issuing venue before their expiry date and are non-transferable.
9. Intellectual Property
- The Localwise name, logo, branding, software, and the design and structure of the Platform are owned by Localwise or our licensors and protected by copyright, trade-mark, and other laws.
- We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose.
- Merchants retain ownership of content they upload but grant Localwise a worldwide, royalty-free licence to host, display, reproduce, and distribute that content via the Platform for the purpose of operating the service.
- You must not copy, modify, reverse-engineer, or create derivative works of the Platform except as permitted by law.
10. Suspension and Termination
We may suspend or terminate your access to the Platform, with or without notice, if:
- you breach these Terms or any of our policies;
- we are required to do so by law or by a regulator;
- continued provision would expose Localwise or other users to legal, security, or operational risk.
You may terminate your account at any time by deleting it in-app or in the merchant portal. Sections that by their nature should survive termination (including §3, §9, §11, §12, §13, §14) will continue to apply.
11. Disclaimers
To the maximum extent permitted by law, the Platform is provided “as is” and “as available”. Subject to §3, we make no warranties about the accuracy, reliability, or availability of the Platform, or about the quality, safety, or legality of offers provided by merchants.
12. Limitation of Liability
To the maximum extent permitted by law, and subject to §3:
- our total aggregate liability to you under or in connection with these Terms is limited to the greater of (a) the fees you have paid us in the 12 months preceding the event giving rise to the claim, or (b) AUD 100;
- we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of revenue, profits, goodwill, or data.
13. Dispute Resolution and Governing Law
- These Terms are governed by the laws of Victoria, Australia.
- The parties submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them.
- Before commencing court proceedings, the parties will attempt to resolve disputes in good faith by contacting support@golocalwise.com.au and allowing 30 days for resolution.
- Nothing in this clause prevents either party from seeking urgent equitable relief.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via in-app notice or email at least 14 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
